SPECIAL TERMS AND CONDITIONS APPLICABLE TO INDIVIDUAL SELLERS

• General

  Please read these special terms and conditions carefully before listing merchandise for sale on or otherwise using our e-Store (as defined below) with an intention to list any merchandise thereon for sale, which should be read in conjunction with and forms part and parcel of your Seller Application Form.

• Definitions and Interpretations

  Unless the context otherwise requires and save as specifically defined in these special terms and conditions, words and expressions defined in Seller Terms and Conditions shall have the same meanings when used in these special terms and conditions.

• Special Terms and Conditions

  Use of our e-Store (Clause D):

  Without prejudice to your obligations to comply with the provisions in (among others) Clause D, the listing of merchandise for sale on our e-Store may not be cancelled or retrieved at any time within the first (1st) calendar month, failing which an administration charge of not more than HK$[200.00] per item of merchandise will be levied on you.

  Additional Services (Clause E):

  • INSPECTION SERVICE

    • The Inspection Service is, subject to the Inspection Policy in force from time to time, offered for your subscription upon the following terms and conditions:

      • the Inspection Fee as referred to in paragraph B1 of the Inspection Policy shall be, unless otherwise agreed by us in writing, equivalent to the higher of 15% of the gross value (before discount) of the merchandise sold on our e-Store or HK$100.00; and
      • the Storage Fee as referred to in paragraph B3 of the Inspection Policy shall be, unless otherwise agreed by us in writing, HK$[250.00] per a case of not more than six (6) bottles per month.

    • Any merchandise that has been subject to our Inspection Service and listed for sale on our e-Store, but have been unsold or otherwise returned to you under the Seller Terms and Conditions or these special terms and conditions, the same merchandise will not be eligible for re-listing on our e-Store without our prior specific approval in writing.

  • COLLECTION SERVICE

    • A collection service (“Collection Service”) is offered to you if you subscribe for our Inspection Service whereby we shall, subject to these special terms and conditions, collect or procure collecting your merchandise to be listed on our e-Store from a commercial / residential address in Hong Kong during normal office hours (or at such other time to be agreed between you and us).

    • Fees chargeable on the Collection Service shall be HK$[500.00] per batch of not more than 12 bottles of merchandise to be collected at each occasion, which fees will be WAIVED if:

      • A prior notice (“Collection Notice”) in the prescribed form shall be given by you to us indicating (y) details of each bottle of merchandise that you intend to be inspected and listed for sale on our e-Store together with proposed list price of each such bottle, and (z) proposed time and venue to collect those merchandise, and thereafter we give you a notice (“Collection Confirmation Notice”) to confirm that we shall collect those bottle(s) of merchandise which will, subject to these Terms & Conditions, be listed on our e-Store at such list price(s) at such time and venue agreed between you and us;
      • the aggregate list price of that batch of merchandise of not more than 12 bottles of wine, as determined by or agreed with us, will be not less than HK$10,000.00; and
      • the merchandise so collected by us pursuant to a Collection Confirmation Notice are exactly the same in both description and quantity as specified in the Collection [Confirmation] Notice.

  Our Fees (Clause F1):

  Our fees for your listing and selling your merchandise on our e-Store (exclusive of (i) any fees payable to us on any Additional Service or (ii) any out-of-pocket charges and expenses payable to our service providers such as payment service providers) for the period of 12 months commencing from the month in which your Seller Application Form is submitted to us is WAIVED, and you and we shall agree on Our Fees for the period thereafter prior to the expiry of the said initial period of 12 months, failing which your Account will be suspended pending agreement on Our Fees.

  Collection Details (Clause G1):

  Our address for collection of your merchandise sold on our e-Store shall be:

  Unit 1104, 11/F, Block A, Sea View Estate, 4-6 Watson Road, North Point, Hong Kong

  Opening hours: 12 noon to 6pm on a working day

  or such address and/or in such opening hours as we shall notify you from time to time.

• Other Provisions

  • If any provision of these special terms and conditions is held invalid or unenforceable by a court or administrative body of competent jurisdiction, such invalidity or unenforceability shall not affect the validity or operation of any other provisions of these Terms & Conditions which shall remain in full force and effect. If any provision of these special terms and conditions is so found to be invalid or unenforceable but would be valid or enforceable if some part of the provision were deleted or modified, the provision in question shall apply with such minimum modification(s) as may be necessary to make it valid and enforceable as near as may be to its invalid or unenforceable form.
  • To the extent of any inconsistency or ambiguity between any special terms and conditions and the Seller Terms and Conditions, the special terms and conditions will prevail.

• Governing Law and Dispute Resolution

  These special terms and conditions are governed by and construed in accordance with the laws of Hong Kong.
